1.

Agreement

1.1.

This agreement (“Agreement”) comprises:
the terms set out below and any additional terms or instructions appearing on the Website in relation to Online Services which the User uses;

1.2.

It is made between:

(1) Cheng Lie Navigation Company Limited (“CNC”)

(2) the Registered User

1.3.

This Agreement shall not affect the terms of any contract of carriage with CNC.

1.4.

CNC agrees to permit the Registered User to use the Content of Website and Online Services as the parties agree on all terms of this Agreement.

2.

Definitions

2.1.

“Content” means any information, data, text, images, video, audio or any other materials available from CNC via Website or Online Services;

2.2.

“CNC” means Cheng Lie Navigation Company Limited;

2.3.

“Individual User” means the person identified in the “First Name” and “Last Name” fields in the online user application form;

2.4.

“Online Services” means any services requested, made available or received via the Website;

2.5.

“Registered User” means the entity identified in the “Company Name” field in the online user application form;

2.6.

“Website” means the booking.chenglie.com website.

3.

Authorisation

3.1.

Individual User only accesses and uses the Content and the Online Services on behalf of the Registered User;

3.2.

Individual User only accesses and uses the Content and the Online Services in accordance with the restrictions and conditions set out in this Agreement and with any procedures from time to time in force on the Website.

3.3.

CNC is not liable for any loss and delay caused by the mis-use of the Individual User.

3.4.

If any Individual User ceases to be authorized to access and use any of the Content or the Online Services on behalf of the Registered User, the Registered User must (1) notify CNC immediately; (2) ensure the relevant Individual User ceases to use any part of the Content and the Online Services.

4.

Communications

4.1.

The Registered User is responsible for the accuracy and completeness of a communication received by CNC or its agents. CNC and its agents are not liable for any loss or delay where the contents of a communication they receive are inaccurate or incomplete or where a communication is not received by them.

4.2.

If the Registered User requests cancellation or modification of a communication which CNC or its agents have received, CNC or its agents will make reasonable endeavours to comply with the request. However, CNC and its agents are not liable for any failure to cancel or modify such a communication.

4.3.

When an Individual User accesses the Website and the Online Services, CNC will check the apparently valid login ID and password. CNC or its agents may treat any apparently valid communication or instruction received from the Individual User as properly authorized by the Registered User, even if in fact no such authority was given. CNC and its agents are no further obligation to check the authority of the Individual User or the authenticity of the communication.

4.4.

Where CNC and its agents have reason to believe that any breach of security or this Agreement has occurred, CNC and its agents reserve the right not to act, or to delay acting upon the communication.
